Baltic Hub Container Terminal Sp. z o. o. ("BHCT" or the "Ordering Party") invites you to submit offers in the tender (the"Tender") regarding the process of relocation services of foreigners employed by BHTC and their families to Gdansk (Poland). 

1.                  General provisions
1.1   Tender organiser

1.2    Legal basis for conducting the Tender.
1.2.1    The Tender shall be conducted by BHCT on the basis of Article 701 of the Civil Code of 23 April 1964 (Journal of Laws Dz. U. No. 16, item 93, as amended).
1.2.2    BHCT is not the ordering party within the meaning of the Public Procurement Law of 29 January 2004 (consolidated text of 2010, Journal of Laws Dz. U. No. 113, item 759, as amended), thus, the provisions of the afore-mentioned Law shall not be applicable to the Tender. 

2.    DEFINITION OF THE SUBJECT OF THE TENDER
The subject of the Tender shall be selection of an entity that will deliver to BHCT, on the basis of the agreement concluded with BHCT (according to the template constituting Annex No. 3), in accordance with Annex no 1 (Specification/Description of the scope of work) relocation services of foreigners employed by BHCT.

3.    COSTS OF PARTICIPATION IN THE TENDER
Entities taking part in the Tender shall incur, on their own, all costs and expenses related to their participation in the Tender, including in particular costs related to the preparation and submission in the course of the Tender of any applications and documents as well as costs of travel, if any, to the registered office of BHCT and inspection of the premises. BHCT shall not be obliged to cover or reimburse to the entities taking part in the Tender any costs related to their participation in the Tender and undertaking any activities in connection with the Tender.

4.    GENERAL CONDITIONS OF PARTICIPATION IN THE TENDER
4.1    A bidder may be a person acting independently as a natural person or a legal person interested in submission of a bid in the Tender procedure and meeting the subjective, financial and technical conditions of participation in the Tender (the "Bidder").

5.    MANNER OF PREPARATION AND SUBMISSION OF THE BID
5.1    The bid should include at least the following information and documents:
5.1.1    The Tenderer is obliged to submit via Logintrade platform a price offer including net prices (PLN) for relocation services to Gdansk (Poland) on the price form constituting Appendix No. 2. Please list in section “c” in Appendix No. 2 any other optional services offered in the relocation service. Commercial offer should be placed in a separate file. 
5.1.2    The Tenderer must have experience in the process of relocation services of foreign employees to Gdansk (Poland). Required experience shall be gained within last 5 (five) years. 
5.1.3     The service must be provided in English and Polish, and it is preferred that it be performed by a permanent employee working in Gdansk. 

5.2    The Bidder may submit only one bid. BHCT does not permit for submission of two or more bids by Bidders belonging to the same capital group within the meaning of the Prevention of Unfair Market Practices Act of 16 February 2007; in the event of violation of this provision, all such bids shall be rejected.
5.3    The Bidder may request BHCT via Logintrade platform to clarify the content of the Tender documentation. 
   
6.    TENDER SCHEDULE

Deadline for submission of the bids    by 10:00 am,17.10.2024

6.1    Bids received after the bids’ submission date shall not be opened and are considered invalid. 
6.2    The Bidder shall be bound by the bid for the period of 60 (sixty) days of the date of deadline for submission of the bids. At a reasonable request of BHCT submitted to the Bidder in writing, the Bidder shall be obliged to extend the tender validity period by the period indicated by Baltic Hub, however not longer than 30 (thirty) days.

7    EVALUATION AND SELECTION OF THE OFFER 
7.1 The ordering Party reserves that: 
a)    has the right not to choose any offer,
b)    has the right to cancel the proceedings at any stage, without choosing any of the offers, without giving a reason, until the conclusion of the contract, 
c)    has the right to change the content and scope of the RFQ, in particular the specification of the subject of the purchase, before the deadline for submission of offers, 
d)    has the right to clarify the subject of purchase after submitting bids - in the event that such a need arises - to the extent that it will not change the subject of the order,
e)    has the right not to choose the offer with the lowest price, 
f)    the Tenderer is not entitled to any claims against the Ordering Party,
7.2     BHCT shall examine and evaluate bids behind the closed door.

8    CLOSURE OF THE TENDER
BHCT may, at any time, including upon the opening of bids, close the Tender without selecting any bid. BHCT shall not be obliged to justify the decision on closure of the Tender. BHCT shall bear no liability to Bidders in connection with the closure of the Tender without selection of any bid. In the event of closure of the Tender by BHCT without selection of any bid, Bidders shall pursue no claims against BHCT for reimbursement of costs or expenses related to the participation in the Tender (including in particular the costs of advisors) and preparation of the documentation submitted by them in the course of the Tender.

9    FINAL PROVISIONS 
All and any disputes related to the Tender shall be subject to determination by a common court appropriate for the registered office of BHCT.

1.2    Podstawa prawna przeprowadzenia Przetargu.

1.2.1    Przetarg zostanie przeprowadzony przez BHCT na podstawie art. 70§ 1 ustawy z dnia 23 kwietnia 1964 r. – Kodeks cywilny (Dz. U. Nr 16, poz. 93 z późn. zm.).
1.2.2    BHCT nie jest zamawiającym w rozumieniu ustawy z dnia 29 stycznia 2004 r. Prawo zamówień publicznych (tekst jednolity z 2010 r., Dz. U. Nr 113, poz. 759 z późn. zm.), w związku z czym do Oferty nie mają zastosowania przepisy ww. ustawy. 

2    OKREŚLENIE PRZEDMIOTU PRZETARGU
Przedmiotem Przetargu będzie wybór podmiotu, który dostarczy na rzecz BHCT na podstawie umowy zawartej z BHCT (według wzoru stanowiącego Załącznik nr 3), zgodnie z Załącznikiem nr 1 (Specyfikacja/Opis zakresu prac) usług relokacji cudzoziemców zatrudnionych przez “BHCT” oraz ich rodzin do Gdańska.

3    KOSZTY UDZIAŁU W PRZETARGU
Podmioty biorące udział w Przetargu ponoszą we własnym zakresie wszelkie koszty i wydatki związane z udziałem w Przetargu, w tym w szczególności koszty związane z przygotowaniem i złożeniem w toku Przetargu wszelkich wniosków i dokumentów, a także koszty ewentualnych dojazdów do siedziby BHCT oraz oględzin pomieszczeń. BHCT nie jest zobowiązane do pokrycia lub zwrotu podmiotom biorącym udział w Przetargu jakichkolwiek kosztów związanych z ich udziałem w Przetargu i podjęciem jakichkolwiek działań w związku z Przetargiem.

4    OGÓLNE WARUNKI UDZIAŁU W PRZETARGU
4.1    Oferentem może być osoba fizyczna lub osoba prawna działająca samodzielnie lub osoba prawna zainteresowana złożeniem oferty w postępowaniu przetargowym oraz spełnieniem subiektywnych, finansowych i technicznych warunków udziału w Przetargu (“Oferent”).

5    SPOSÓB PRZYGOTOWANIA I ZŁOŻENIA OFERTY

5.1    Oferta powinna zawierać co najmniej następujące informacje i dokumenty:
5.1.1    Oferent zobowiązany jest do złożenia poprzez platformę Logintrade oferty cenowej zawierającej ceny netto (PLN) za usługi relokacji do Gdańska na formularzu cenowym stanowiącym Załącznik nr 2. Prosimy o wyszczególnienie 
w sekcji “c” w Załączniku nr 2 wszelkich innych usług opcjonalnych oferowanych 
w ramach usługi relokacji. Oferta handlowa powinna być umieszczona w osobnym pliku. 
5.1.2    Oferent musi posiadać doświadczenie w procesie usług relokacji pracowników zagranicznych do Gdańska. Wymagane doświadczenie musi być zdobyte w ciągu ostatnich 5 (pięciu) lat. 
5.1.3     Usługa musi być świadczona w języku angielskim i polskim oraz preferowane jest, aby była wykonywana przez pracownika na stałę pracującego w Gdańsku.
5.2    Oferent może złożyć tylko jedną ofertę. BHCT nie dopuszcza możliwości złożenia dwóch lub więcej ofert przez Oferentów należących do tej samej grupy kapitałowej w rozumieniu ustawy z dnia 16 lutego 2007 r. o przeciwdziałaniu nieuczciwym praktykom rynkowym; W przypadku naruszenia tego postanowienia, wszystkie takie oferty zostaną odrzucone.
5.3    Oferent może zwrócić się do BHCT za pośrednictwem platformy Logintrade o wyjaśnienie treści dokumentacji przetargowej.
   
6    HARMONOGRAM PRZETARGU

6.1    Oferty otrzymane po terminie składania ofert nie są otwierane  są uznane za nieważne. 
6.2    Oferent jest związany ofertą przez okres 60 (sześćdziesięciu) dni od dnia, w którym upływa termin składania ofert. Na uzasadnione żądanie BHCT zgłoszone Oferentowi w formie pisemnej, Oferent zobowiązany jest do przedłużenia okresu związania ofertą o okres wskazany przez Baltic Hub, nie dłużej jednak niż 30 (trzydzieści) dni.

7      OCENA I WYBÓR OFERTY
7.1    Zamawiający zastrzega, że: 
a)    ma prawo nie wybrać żadnej oferty,
b)    ma prawo odstąpić od postępowania na każdym etapie, bez wyboru którejkolwiek z ofert, bez podania przyczyny, aż do momentu zawarcia umowy, 
c)    ma prawo do zmiany treści i zakresu Zapytania Ofertowego, w szczególności specyfikacji przedmiotu zakupu, przed upływem terminu składania ofert, 
d)    ma prawo do doprecyzowania przedmiotu zakupu po złożeniu ofert – w przypadku, gdy zajdzie taka potrzeba – w zakresie, w jakim nie spowoduje to zmiany przedmiotu zamówienia,
e)    ma prawo nie wybrać oferty z najniższą ceną, 
f)    Oferentowi nie przysługują żadne roszczenia w stosunku do Zamawiającego,

7.2      BHCT analizuje i ocenia oferty za zamkniętymi drzwiami.

8    ZAMKNIĘCIE PRZETARGU
BHCT może w dowolnym momencie, w tym po otwarciu ofert, zamknąć Przetarg bez wyboru jakiejkolwiek oferty. BHCT nie jest zobowiązany do uzasadnienia decyzji o zamknięciu Przetargu. BHCT nie ponosi żadnej odpowiedzialności wobec Oferentów w związku z zamknięciem Przetargu bez wyboru jakiejkolwiek oferty. W przypadku zamknięcia Przetargu przez BHCT bez wyboru jakiejkolwiek oferty, Oferenci nie będą dochodzić od BHCT żadnych roszczeń o zwrot kosztów lub wydatków związanych z udziałem w Przetargu (w tym w szczególności kosztów doradców) oraz przygotowania przez nich dokumentacji złożonej w toku Przetargu.

9     POSTANOWIENIA KOŃCOWE
Wszelkie spory związane z Ofertą zostaną poddane rozstrzygnięciu przez sąd powszechny właściwy ze względu na siedzibę BHCT.
